    TII is deemed to have an interest in 16,097,000 shares (the "Shares") in Venture Corporation Limited which are held by its indirect wholly owned subsidiaries, Franklin Templeton Investments (Asia) Limited ("FTIA"), Franklin Templeton Investment Management Limited ("FTIML"), and Templeton Global Advisors Limited ("TGAL"), on behalf of their clients.

    The Shares represent shares held by discretionary managed accounts where FTIA, FTIML or TGAL is the investment adviser or sub-adviser. FTIA, FTIML and TGAL's interests arise because they have the right to vote the clients' shares in their discretion.

    Based upon past advice from counsel regarding reporting requirements under the Companies Act and the Securities and Futures Act, it was TII's understanding that the various investment advisers and sub-advisers within TII were not required to aggregate the shares held in or by individual advisory accounts and funds for the purposes of making the required notifications in respect of substantial shareholdings. Since the shareholdings of each individual advisory account and fund did not constitute 5% or more of the shares of a Singapore company, TII and its various investment advisers and sub-advisers did not file notices of Substantial Shareholder's Interests.

    It was recently brought to TII's attention that the reporting requirements under the Companies Act and the Securities and Futures Act may require aggregation of shareholdings. Based upon this information, New Singapore counsel was appointed to review and analyze the reporting requirements. New counsel has advised that, pursuant to the provisions of Sections 7(4) and 7(4A) of the Companies Act, shareholdings should be aggregated among TII's affiliated investment advisers and sub-advisers for the purpose of substantial shareholding reports. Upon receipt of this new advice and after considerable consultation with new Singapore counsel, TII commenced preparation of notices of Substantial Shareholder's Interests.
